This Terms of Use and Access Agreement (the “Agreement”) governs your access to and use of the Benefits

4U portal (the “Site”) made available by Willis Towers Watson India Insurance Brokers Private Limited

(“WTW”) and its affiliates. By accessing, browsing, or using the Site or any services made available through

it, you expressly acknowledge and agree to be bound by the terms of this Agreement. If you do not agree to

these terms, you must immediately cease all access to and use of the Site.

WTW expressly rejects any additional or inconsistent terms, whether oral or written, and such terms shall be

void and without effect unless expressly agreed to in writing by WTW.

1. Scope of Use and Eligibility

This Site is provided solely to facilitate the exchange of documentation, data, and information between

authorised users (“Users” or “You”) and WTW in connection with employee health and benefits programmes

and related services (the “Services”), which may be provided by WTW or its affiliates. Access to the Site is

strictly limited to authorised Users and may not be used for any other purpose. WTW reserves the right, at

its sole discretion, to restrict, suspend, or terminate access to the Site or Services at any time without notice

or liability.

2. Limited Licence and Restrictions

Subject to your compliance with this Agreement, WTW grants you a limited, revocable, non-exclusive, non-

transferable licence to access and use the Site solely for its intended purpose. This licence does not confer

any ownership rights in the Site or its contents. All rights not expressly granted are reserved by WTW.

You shall not copy, reproduce, modify, distribute, transmit, display, publish, or otherwise exploit any content

of the Site, nor attempt to reverse engineer, decompile, or otherwise extract the underlying systems or data.

Any unauthorised use shall constitute a material breach of this Agreement and may result in immediate

termination of your access and applicable legal action.

3. Intellectual Property

All rights, title, and interest in this Site, including all text, graphics, and other content, are owned by or licensed

to WTW, unless otherwise indicated. Such content is provided solely for your personal, non-commercial use,

and you may view, download, print, or copy materials from this Site only for your own internal or personal

purposes. All other rights are expressly reserved by WTW. Except as expressly permitted, you shall not

reproduce, modify, distribute, transmit, display, publish, republish, or otherwise exploit any content from this

Site without the prior written consent of WTW. This includes, without limitation, mirroring or hosting content

on another server, using automated tools such as robots, spiders, or scrapers to access or copy content, or

using the content for commercial, public, or nonprofit purposes. The information on this Site is not intended

for redistribution or republication.

Certain materials, content, or processes made available through this Site may be owned by third parties, and

where your intended use would require the permission of such third-party rights holders, you are solely

responsible for obtaining all necessary consents.

All logos, trademarks, service marks, and branding displayed on this Site that belong to WTW may not be

used, reproduced, or altered without WTW’s prior written consent, and all other marks appearing on this Site

are the property of their respective owners.

You shall not use, export, or re-export any content, software, or materials from this Site in violation of

applicable laws, including export control laws, and any unauthorized or unlawful use of the Site or its content

is strictly prohibited. WTW retains all intellectual property rights in its methodologies, analytical approaches,

models, tools, techniques, concepts, know-how, and related materials, including any graphical or digital

representations etc made available on or through this Site. You shall be responsible for and liable for any

loss or damage arising from your infringement of any intellectual property rights or from any unauthorized or

improper use of this Site or its content.

4. Data Usage and Privacy

By using the Site, you irrevocably consent to the collection, processing, storage, transfer, and use of your

data by WTW and its affiliates in accordance with WTW’s Privacy and Cookie Policy. You represent and

warrant that all data or information provided by you is accurate, complete, and lawfully obtained, and that

you have obtained all necessary consents for its submission and use. Your use of the site is subject to WTW's

Privacy and Cookie Policy, which is available on WTW’s website.

WTW shall be entitled to rely on all data provided without independent verification and shall not be

responsible for any inaccuracies or omissions therein.

5. User Obligations and Security

WTW has provided you with a confidential password and a unique login identifier (“Login ID”) for the purpose

of accessing this Site. Access to the Site, including all documentation, data, and information contained

therein, is restricted strictly to duly authenticated users.

You acknowledge and agree that any access to information relating to you via the Site may be obtained by

any individual who utilizes your Login ID and password. Accordingly, you shall take all reasonable steps to

safeguard and maintain the confidentiality of your access credentials and shall not disclose them to any third

party.

You shall be solely responsible and liable for all activities, acts, or omissions arising from the use or misuse

of your Login ID and password, whether authorized or unauthorized. Any action taken or request submitted

using your access credentials shall be deemed to have been taken or made by you, and WTW shall be

entitled to rely upon and act upon such actions or requests without further verification or inquiry.

You further agree not to introduce any malicious code or engage in any activity that may disrupt, impair, or

compromise the integrity or security of the Site or Services.

In the event that you become aware of, or have reason to suspect, that (i) your access credentials have been

disclosed to, or otherwise compromised by, any person other than yourself, or (ii) there has been any

unauthorized access to your account, you shall immediately notify WTW and your employer. Such notification

shall be confirmed in writing within seventy-two (72) hours of the initial notice.

Upon receipt of such notification, WTW and your employer shall take appropriate steps to verify your identity

and, subject to their respective security and validation procedures, may issue replacement access credentials

within a reasonable period of time.

The reissuance or reactivation of access credentials shall be conditional upon compliance with WTW’s and

your employer’s applicable security and verification requirements. For the avoidance of doubt, no

replacement access credentials shall be issued where you have breached, or permitted any third party to

breach, such security or validation procedures.

6. Access, Continuity and Security

WTW shall use commercially reasonable efforts to maintain the availability, security, and proper operation of

the Site, and to preserve the integrity of data accessed by you through the Site. Notwithstanding the

foregoing, and in view of the inherent nature of the Internet, WTW does not represent or warrant that the Site

will be free from viruses, malware, unauthorized access, hacking, or other security breaches, nor that access

to the Site will be uninterrupted, timely, or error-free.

To the fullest extent permitted by applicable law, WTW shall not be liable for any disruption, delay,

interception, or failure of communications over the Internet, or for any loss, corruption, alteration, or

unauthorized interception of data transmitted to or from the Site.

WTW reserves the right, upon reasonable grounds (including, without limitation, any breach of these terms

and conditions), to suspend or restrict your access to the Site or Services. Where commercially practicable,

WTW shall provide advance written notice of such suspension to your employer. Notwithstanding the

foregoing, WTW may implement an immediate suspension where it reasonably considers such action

necessary, and may, at its discretion, provide a written explanation to your employer setting out the reasons

for such suspension.

You shall not, and shall ensure that no third party on your behalf, introduces or transmits any virus, malicious

code, or other harmful component that may disrupt, impair, disable, or otherwise adversely affect the

operation, security, or integrity of the Site, the Services, or any associated data, or that may prevent or restrict

access to the Site.

WTW makes no representation or warranty that the Site is appropriate for use or accessible in all jurisdictions.

Access to the Site from locations outside the intended jurisdiction is undertaken at your own risk, and you

are responsible for compliance with all applicable local laws.

7. Third-Party Content and External Links

This Site may include links to third-party websites for convenience and informational purposes only. WTW

makes no representations or warranties whatsoever in respect of any such external websites that may be

accessed through this Site. The inclusion of any link does not constitute, and shall not be construed as, an

endorsement, approval, or recommendation by WTW of the content, products, services, or operators of such

websites, nor does it imply any affiliation with their owners.

WTW does not investigate, verify, monitor, or control the content or practices of any third-party websites and

expressly disclaims all liability arising from or in connection with access to, or use of, any information,

We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any

third-party websites. Accessing such links is entirely at your own discretion. By clicking on and accessing

WTW shall not be responsible for any failure of security measures or encryption mechanisms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, WTW excludes all liability for any loss, damage, cost, or

liability arising directly or indirectly out of or in connection with: (i) any unauthorized/ improper use of the Site

(other than where such unauthorized use is attributable to the acts or omissions of WTW personnel); (ii) any

unauthorized use or disclosure of access credentials by any person (other than where such unauthorized

use or disclosure is caused by WTW or its personnel); or (iii) any inaccurate, incomplete, or incorrect

submission of data or information by you or on your behalf.

WTW shall not be liable for any loss, injury, claim, liability, or damage of any kind arising from or in connection

with your use of, or inability to use, the Site.

Without prejudice to the foregoing, and to the fullest extent permitted by applicable law, WTW shall not be

liable for any indirect, incidental, consequential, special, or punitive damages of any kind whatsoever,

including, without limitation, loss of profits, loss of data, loss of business opportunity, or legal costs and

expenses, arising out of or in connection with the use of, or inability to use, the Site.

To the extent that any limitation or exclusion of liability set out in this clause is not permitted by applicable

law, WTW’s total aggregate liability to you, whether in contract, tort (including negligence), or otherwise, for

whatsoever reason, shall not exceed INR 1,00,000.

10. Indemnity

You agree to indemnify, defend, and hold harmless WTW and its affiliates from and against any and all

claims, liabilities, damages, losses, and expenses arising from or in connection with your use of the Site,

your breach of this Agreement, or your violation of any applicable law or third-party rights.

11. Force Majeure

WTW shall not be liable for any loss, damage, cost, or liability arising directly or indirectly from any delay,

interruption, or failure in the performance of the Site or Services caused by events or circumstances beyond

its reasonable control. Such events shall include, without limitation, failures of electronic or mechanical

equipment, data processing errors or failures, telecommunications or interconnection issues, utility outages,

system defects, adverse weather conditions, strikes, industrial disputes, fire, acts of God, civil unrest, riots,

armed conflict, war, or any other similar events.

WTW shall have no obligation to provide access to the Site or the Services for the duration of any such

interruption or disruption arising from the foregoing causes.

12. Suspension and Termination

You shall acquire no right, title, or interest in or to the Services or any materials made available therein,

except for the limited right to access and use the Services strictly in accordance with this Agreement.

Subject to compliance with these Terms of Use, WTW hereby grants You a limited, non-exclusive, non-

transferable, and revocable license to access and use the Portal and its content solely for the permitted

purposes set out herein.

WTW reserves the right to suspend or terminate this license at any time, with or without cause, and without

prior notice, to the fullest extent permitted by applicable law.

13. Change of Terms

WTW reserves the right, at its sole discretion, to amend, modify, or update the terms and conditions of this

Agreement, as well as the specifications, features, functionality, and content of the Site and Services, at any

time. Such changes may be made for purposes including, without limitation, addressing technological

developments, responding to evolving security threats, enhancing features and service offerings, improving

operational efficiency, or otherwise improving the quality of the Services provided to clients.

Your continued access to or use of the Site following the implementation of any such changes shall constitute

your deemed acceptance of, and agreement to be bound by, the revised Terms and Conditions.

14. Sanctions and Compliance

You represent and warrant that neither you nor your organisation is subject to any applicable sanctions or

restrictions and that you are not accessing or using the Site on behalf of any restricted entity. Any breach of

this provision shall constitute a material violation of this Agreement.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, and the courts of

India shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.
